Acceptance of the Terms of Use

These terms of use are entered into by and between you ("you" or "your") and Punch Drunk Productions, LLC, dba Endlist ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use"), govern your access to and use of the website endlist.work (the "Website") and the Endlist application at my.endlist.work (the "Service"), including any content, functionality, and services offered on or through them, whether as a guest or a registered user.

Please read these Terms of Use carefully before you start to use the Website or the Service. By using the Website or the Service, you accept and agree to be bound and abide by these Terms of Use and our privacy policy, found at endlist.work/privacy ("Privacy Policy") and incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website or the Service.

The Website and Service are offered and available to users who are 18 years of age or older. By using them, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all eligibility requirements.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use thereafter. Your continued use following the posting of revised Terms of Use means that you accept and agree to the changes.

The Website Has No Accounts

The Website is a static informational site. It has no accounts, no forms, and no sign-in. The account and content provisions below attach to the Service at my.endlist.work, which is where accounts actually exist.

The Waitlist

Access to the Service is currently restricted. Joining the waitlist submits your email address as a request for access; it is not a purchase, not a contract for service, and not a guarantee that access will be granted. We may approve, decline, or defer any request at our discretion, and we may keep the waitlist closed indefinitely. Waitlist requests are handled through our authentication provider and are subject to the Privacy Policy.

Accessing the Service and Account Security

We reserve the right to withdraw or amend the Website and the Service, and any feature or material we provide, in our sole discretion without notice. We will not be liable if for any reason all or any part is unavailable at any time or for any period.

You agree to:

  • Provide accurate, current, and complete information when requested.
  • Maintain the security of your password and sign-in credentials.
  • Keep your account information accurate, current, and complete.
  • Be fully responsible for all use of your account and for any actions taken through it.

Your account is personal to you. You agree not to provide any other person with access to the Service using your credentials, and to notify us immediately of any unauthorized access or other breach of security. We have the right to disable any user name, password, or other identifier at any time in our sole discretion, including if we believe you have violated any provision of these Terms of Use.

Your Content

The tasks, notes, journal entries, tags, files, and other material you create or upload in the Service ("Your Content") remain yours. We claim no ownership of Your Content.

You grant us only the limited license necessary to operate the Service for you: to host, store, back up, transmit, display, and process Your Content, including automated processing by our service providers for the organization features described on the Website. This license exists solely so we can run the Service and ends when you delete the content or your account, subject to reasonable backup retention.

We do not sell Your Content, publish it, or use it to train third-party models. You are responsible for Your Content and represent that you have the rights necessary to store it in the Service, and that it does not violate any law or the rights of any third party.

Intellectual Property Rights

The Website, the Service, and their entire contents, features, and functionality (including all information, software, text, displays, images, and the design, selection, and arrangement thereof), excluding Your Content, are owned by the Company, its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms of Use permit you to use the Website and Service for your own personal or internal business use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any material from the Website or Service, except as follows:

  • Your computer may temporarily store copies incidental to accessing and viewing the material.
  • You may store files that are automatically cached by your browser for display enhancement purposes.
  • You may print or download a reasonable number of pages for your own personal, non-commercial use.

You must not modify copies of any material, or delete or alter any copyright, trademark, or other proprietary rights notices.

Trademarks

The Company name and all related names, logos, designs, slogans, and product and service names, including but not limited to Punch Drunk, Punch Drunk Productions, and Endlist, are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, and marks are the trademarks of their respective owners.

Prohibited Uses

You may use the Website and Service only for lawful purposes and in accordance with these Terms of Use. You agree not to use them:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

Additionally, you agree not to:

  • Use the Website or Service in any manner that could disable, overburden, damage, or impair them.
  • Use any robot, spider, or other automatic device, process, or means to access them for any purpose.
  • Use any device, software, or routine that interferes with their proper working.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of them or any server or database connected to them.
  • Attack them via a denial-of-service attack or a distributed denial-of-service attack.

The Service includes automated features that organize, categorize, and move your items; those features are provided without warranty of accuracy, and you remain responsible for your own commitments and deadlines.

Limitation on Liability

In no event will the Company, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Website, the Service, any websites linked to them, or any content on them.

Governing Law and Jurisdiction

All matters relating to the Website, the Service, and these Terms of Use, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Washington without giving effect to any choice or conflict of law provision or rule.
